Terms of Service

1. Introduction
Welcome to Knactics, "a knack for tactics." These Terms of Service govern your access to and use of the Knactics multi-modal AI agent workspace, website, and related productivity features, collectively the Service. By accessing or using the Service, you agree to be bound by these Terms.
2. The Service (Cloud-Hosted Access)
Knactics provides on-demand network access to a hosted AI workspace for chat, document workflows, spreadsheet workflows, code-related assistance, and canvas artifacts. Knactics is provided strictly as a hosted service, platform subscription, and app access. This agreement is not an intellectual property license or royalty arrangement. Order processing, tax collection, and billing are conducted by our Merchant of Record. When you purchase a subscription, you enter into a billing agreement with the Merchant of Record, subject to their terms and conditions, while your use of Knactics remains governed by these Terms.
3. Intellectual Property and Access Rights
You receive only a limited, non-exclusive, non-transferable, revocable right to access and use the hosted Service for internal or personal knowledge work. No source code is delivered, licensed, or otherwise made available to you under any circumstances. You are granted no rights to copy, resell, sublicense, publicly distribute, publicly display, publicly perform, or create derivative works of the Knactics software, application, or platform. Knactics exclusively retains all right, title, and interest in and to the software, platform, user interfaces, workflows, AI models, system prompts, agents, documentation, and all related intellectual property.
4. No Professional Advice
Knactics is a productivity and drafting tool. Outputs generated by the Service are AI-generated drafts and may contain errors, omissions, or inaccuracies. Outputs are not legal advice, financial advice, investment advice, medical advice, tax advice, insurance advice, or professional services of any kind. Knactics does not provide professional services and is not a substitute for a licensed attorney, accountant, certified public accountant, financial advisor, investment adviser, insurance agent, medical professional, or any other licensed professional. You are solely responsible for independently reviewing, verifying, and approving all outputs before use, particularly in legal, financial, medical, tax, insurance, compliance, underwriting, or other regulated contexts. Your use of any outputs is at your own risk.
5. Accounts and Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate information and promptly notify us of any unauthorized use or security breach.
6. Customer Content and AI Outputs
You retain all ownership rights to the files, prompts, text, and data you submit to the Service. You grant Knactics the limited rights strictly necessary to host, process, transmit, and display that content to provide and improve the Service. Subject to your compliance with these Terms, you own the outputs and artifacts generated by the AI based on your Customer Content. AI outputs are generated by probabilistic models and may be inaccurate, incomplete, misleading, or not reflective of recent events or information. You should not rely on any outputs without independently confirming their accuracy. You are solely responsible for reviewing and verifying all outputs before relying on them, particularly for legal, financial, medical, compliance, underwriting, or high-impact business decisions.
7. Acceptable Use
You agree not to use the Service to violate any applicable law, infringe the intellectual property or privacy rights of others, distribute malware or spam, engage in phishing, attempt unauthorized access to our systems, abuse rate limits, disrupt the Service, or submit highly sensitive regulated data such as protected health information unless explicitly supported by a separate agreement.
8. Subscriptions, Renewals, and Cancellation
Paid plans are billed according to the pricing shown at checkout by our Merchant of Record. Subscriptions automatically renew unless canceled prior to the end of the current billing cycle. Knactics reserves the right to change its pricing with reasonable advance notice.
9. Billing and Refunds
Our order process and payment processing are conducted by our Merchant of Record. The Merchant of Record is the legal seller of all digital goods and services on this platform. Charges on your credit card or bank statement will appear under the billing descriptor shown at checkout or on your receipt. If you are unsatisfied with your purchase, you may request a refund within 30 days of the original purchase date by contacting our support team at chaz@knactics.com. We will authorize the refund based on our 30-day money-back guarantee, and our Merchant of Record will execute the financial transaction to return the funds to your original payment method. Depending on your jurisdiction, such as the EU or UK, you may have additional statutory consumer rights regarding refunds that we and our Merchant of Record will honor.
10. Suspension and Termination
Knactics may suspend or terminate your access to the Service at any time, with or without notice, for security risks, non-payment, abuse, legal compliance, or any material violation of these Terms.
11. Disclaimers and Warranties
The Service and all outputs are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Knactics expressly disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, reliability, and non-infringement. Knactics does not warrant that outputs are accurate, complete, error-free, or suitable for any particular purpose. Outputs may contain content inconsistent with Knactics' views.
12. Limitation of Liability
To the maximum extent permitted by law, Knactics shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, nor for any loss of profits, revenues, data, or business opportunities, arising out of or relating to your use of the Service or any outputs, even if advised of the possibility of such damages.
